# Introduction

Thank you for your interest in Actra AI\. Actra consists of hardware devices, applications, and related services provided by Stavecho Intelligence Technology \(Beijing\) Co\., Ltd\. \(“**we**,” “**us**,” or “**our**”\) \(collectively, the “**Services**”\)\. Before using the Services, please carefully read this User Agreement \(the “**Agreement**” or the “**Terms**”\)\. By confirming your acceptance of these Terms, or by accessing or using the Services in any manner, you enter into a contractual relationship with us\. These Terms apply to all persons who access or use the Services in any manner\. If you use the Services on behalf of a company, organization, or other entity, you represent and warrant that you have authority to accept this Agreement on behalf of that entity\. This Agreement also applies to any person who accesses the Services using your account credentials, session, authorization, device, or connection method\. If you do not agree to these Terms, you are not authorized to use any of the Services and should not use any of the Services\.

# Definitions

“**Device**” means the Actra AI pendant hardware product and other accessories\.

“**Application**” means the mobile application used to connect, configure, and manage the Device and to use the Services\.

“**User Content**” means non\-public content that you enter, upload, generate, or save in your personal account, including audio, transcripts, AI summaries, conversation records, location, schedules, reminders, and other materials\.

“**Output**” means AI\-generated or system\-generated content produced through the Services, including content generated by a chat box within the Application after you provide input to that chat box\.

“**Memory Features**” means the features of the Services that save long\-term information based on your authorization, settings, or usage behavior for purposes such as personalized experiences, historical retrieval, user profiling, and task assistance\.

“**AI Services**” means services based on artificial intelligence models, including speech recognition, transcription, summarization, conversation, task execution, long\-term memory, and related services\.

# Service Content

The Services may provide you with features including, without limitation, voice interaction and recording, AI conversation and generation, content summaries, long\-term memory, and related features\. We will process your information and content in accordance with our **Privacy Policy**, including how we collect, use, store, and protect your personal information\. We reserve the right to improve, suspend, or terminate the Services at any time\. For changes that would have a material adverse impact on you, we will provide advance notice to the extent commercially reasonable and practicable\.

The Application may update automatically to ensure that you are using the latest version, and may contain open\-source software subject to separate license terms\. Relevant license information will be made available to you\.

Before using the Services to record any sound, you must comply with applicable recording, privacy, and data protection laws\. **Where required by law, you must notify all persons being recorded in advance and obtain their consent\.**

# Minimum Age Requirement and Children’s Privacy

You must be at least 18 years old, or have reached the legal minimum age required to consent to use the Services in your country or region\. Otherwise, you must obtain permission from your parent or legal guardian to use the Services, and ask them to read these Terms with you\.

The Services are not directed to children under 13 years old, or any other minimum age required by applicable law\. You may not knowingly allow children under 13 to register for or use the Services, or upload, record, or process a child’s voice, image, location, or other personal information without lawful authorization\. If we discover that we have inadvertently collected personal information from a child under 13, we will take deletion or other reasonable measures in accordance with applicable law and the Privacy Policy\.

# Account and Registration

You need to register an account to use the full Services\. When registering an account, you must provide true, accurate, complete, and current information\. You are responsible for maintaining your account and for all activities that occur under your account\. If you believe your account is no longer secure, please notify us immediately by email at [support@actra\.ai](mailto:support@actra.ai)\.

You may log out, cancel your account, or delete certain data through the in\-app process\. Account cancellation may result in the restriction or termination of device binding, cloud content, subscription benefits, memory, third\-party authorizations, and access to the Services\.

# Memory Features

Actra’s Memory Features may, based on your settings, conversations, recordings, tasks, location, third\-party application content, or information you actively provide, build long\-term memories, event memories, preferences, areas of interest, role profiles, reminder preferences, and other personalized information\.

You may view, edit, delete, or disable certain Memory Features in the Application\. Disabling Memory Features may reduce the effectiveness of personalized experiences, historical search, and proactive reminders\. Memory Features do not constitute a comprehensive record of your complete life trajectory, behavior, relationships, or factual circumstances, and we do not guarantee that they are accurate, complete, or real\-time\.

If you delete original recordings, transcripts, or conversations, whether the summaries, indexes, memories, or derivative content generated from them are also deleted will depend on product settings, data structures, backups, legal retention requirements, and the Privacy Policy\. We will provide reasonable data management methods and process deletion requests in accordance with applicable law\.

# Location and Health\-Related Information

Certain features may process location information based on your authorization, for example, to add location information to daily logs, recording records, schedules, or reminders\. You may manage location permissions through your system or Application settings\. Disabling location permissions may affect related features\.

You may choose to provide personal information such as your nickname, age, gender, country, mobile phone number, height, weight, and maximum heart rate\. Such information may be used for personalized experiences, reminders, contextual understanding, or product features\. However, Actra is not a medical device and is not used to diagnose, treat, or monitor diseases or to provide medical advice\. The processing of health, physical metrics, or sensitive information is governed by the Privacy Policy\.

# Lab Features

We may provide lab, beta, preview, early access, or testing features\. Such features may be unstable, incomplete, changed or discontinued at any time, and may produce errors, delays, data loss, or inaccurate results\. You should not use Lab Features for high\-risk, critical, urgent, or legally significant matters\.

# Subscription Services

Certain features require a paid subscription\. Subscriptions will automatically renew, and fees will be charged automatically to your payment method on the renewal date you select\.

We reserve the right to modify subscription fees\. We may adjust subscription prices, plan contents, or the scope of free features, and will notify you within a reasonable period in advance\. Fee changes generally take effect after the end of the current billing cycle\. If you continue to use the paid Services after the changes take effect, you agree to pay according to the updated prices and terms\. If your payment cannot be completed, we may downgrade your account or suspend your access to the Services until payment is received\.

We may, in our sole discretion, offer promotions with different features and prices to any of our customers\. Unless such promotions are specifically directed to you, they do not apply to your order or to these Terms\.

You may cancel your paid subscription at any time\. After cancellation, you may continue to use the Services until the end of the current billing cycle\. Unless required by law, all payments are non\-refundable\.

# Software License and Restrictions

Subject to your compliance with this Agreement, we grant you a limited, non\-exclusive, non\-transferable, non\-sublicensable, revocable license to download, install, and use the Application on a device that you own or control, solely for the purpose of accessing the Services for personal or internal business purposes\.

Our Services may be accessed only through official applications, official services, or methods expressly authorized by us\. Without our authorization, you may not use any third\-party client, plug\-in, browser extension, self\-hosted platform, proxy service, or unofficial API to access, control, connect to, scrape, synchronize, or operate the Services or any Device\.

Except where, and only to the extent that, applicable law does not permit such restrictions, you may not:

- copy, distribute, publicly display, create derivative works from, or publicly perform the Services, or provide access to the Services to any third party through a service bureau or otherwise;

- modify the Services or create derivative works from the Services, reverse engineer the Services, or attempt to obtain any source code or underlying algorithms, methods, or processes in the Services;

- interfere with or circumvent any feature of the Services, including any security or access control mechanism\.

Even if a third party initially uses valid credentials or obtains the account holder’s purported consent, this does not mean that such third party has obtained authorization from Actra\. We may revoke credentials, block access, restrict accounts, take technical measures, and seek injunctive relief, damages, or other remedies\.

# User Content and License

You retain ownership of your User Content\. However, in order to provide and improve the Services, **you grant us a non\-exclusive, royalty\-free, fully paid\-up, transferable, sublicensable, worldwide license** to use, process, store, and transmit your User Content for the purposes of providing the Services, processing data, generating Outputs, optimizing system functions, and for safety and compliance purposes\. We will not publicly disclose your private content without your express authorization\.

If the Services provide public content features in the future, by actively publishing public content, you authorize us and other users to access, display, share, and use such public content in accordance with the nature of that feature\. Public content may be saved or disseminated by others, and deletion may not fully withdraw access or copies that have already occurred\.

# User Responsibilities

When using the Services, you are responsible for complying with all applicable laws, including recording laws and other privacy or data protection laws\. **You represent and warrant that:**

- you will provide notice to, and obtain consent from, all individuals with whom you interact or whose conversations you record using the Services, including consent for us to process any collected data in accordance with these Terms;

- your User Content, and our use of such User Content as permitted under this Agreement, has not and will not infringe, violate, or misappropriate any third\-party rights, including any copyright, trademark, patent, trade secret, moral right, privacy right, or right of publicity;

- you will not disable, obscure, or otherwise tamper with the pendant’s LED indicator light, including by concealing the fact that the pendant is recording\.

**You agree that you will not, and will not assist others to:**

- violate any applicable laws, regulations, sanctions, export controls, platform rules, or third\-party rights;

- engage in covert recording, unlawful eavesdropping, tracking, harassment, threats, impersonation, fraud, or invasion of another person’s privacy;

- upload, generate, send, store, or disseminate unlawful, infringing, defamatory, hateful, violent, pornographic, harassing, fraudulent, malicious, misleading, or inappropriate content;

- use the Services to send spam, malicious marketing, phishing messages, malware, unsolicited messages, or unlawful automated communications;

- bypass or attack our systems, servers, networks, models, security mechanisms, risk\-control strategies, permissions, or billing mechanisms;

- abuse refunds, complaints, reports, customer support, appeals, or security processes;

- scrape, bulk export, data mine, extract models from, load test, or access the Services through unauthorized automation;

- falsely claim that AI\-generated content was created by a human, or conceal AI involvement where disclosure is required by law;

- use the Services to process children’s data, health data, financial data, employment data, education data, consumer report data, or other sensitive data that you are not authorized to process;

- use the Services in any manner that may harm Actra, other users, third parties, or public safety\.

For violations of the above rules, we reserve the right to delete content, restrict features, suspend or terminate accounts, device bindings, or access to the Services, and disclose necessary information to law enforcement agencies, regulators, or affected parties\.

# Third\-Party Services

We may provide tools or other features through the Services that allow you to import and/or export information from third\-party applications or services, including Slack, Notion, WhatsApp, system calendars, and other services, including features that allow you to link your Actra account with accounts on third\-party applications or services\. By using these tools or features, you authorize us to access, process, transmit, or write relevant information to the extent necessary to provide the features you choose\. You may revoke authorization through the Application or the third\-party platform, but revocation may affect created tasks, synchronization, reminders, or historical records\.

Before we send emails, messages, documents, calendar invitations, reminders, or perform other actions that affect third parties on your behalf, we may require you to confirm recipients, contacts, content, time, attachments, or scope of execution\. Even if the Services provide drafts, recommendations, or automated workflows, you remain responsible for the content and consequences of the final sending, publishing, saving, or execution\.

You may not use third\-party services to send spam, harassing messages, fraudulent content, unlawful marketing, infringing content, impersonation messages, malware, hateful or violent content, or to infringe the rights of others in any way\. We may restrict, suspend, or terminate operations that are high\-risk, abnormal, abusive, or in violation of third\-party platform rules\.

Third\-party applications and services are not under our control\. To the maximum extent permitted by law, we are not responsible for any third\-party application’s or service’s use of information you export, any information originating from such third\-party application or service, or any other issues or failures of such third\-party application or service\. The Services may also contain links to third\-party websites\. Linked websites are not under our control, and we are not responsible for their content, operation, or functionality\. We strongly recommend that you read their terms and privacy policies\.

# Intellectual Property

**Our Intellectual Property: **The Services, Application, designs, interfaces, trademarks, logos, and all other elements of the Services that we provide, excluding User Content, are owned by us or our licensors and are protected by intellectual property and other laws\.

**Your Feedback:** If you provide us with suggestions, feedback, ideas, improvement comments, bug reports, or product requests, you hereby grant us an unrestricted, perpetual, irrevocable, non\-exclusive, fully paid\-up, royalty\-free right to use and exploit such feedback in any manner and for any purpose, without payment or attribution, including for improving the Services and creating other products and services\.

**DMCA Copyright Notice: **If you believe that content in the Services infringes your copyright or other intellectual property rights, please contact us through the copyright contact channel listed in this Agreement and provide the detailed infringement notice information required by the DMCA\.

# Intellectual Property Complaints

If you believe that any content made available through the Services has been used or exploited in a manner that infringes intellectual property rights that you own or control, please contact us immediately through the copyright contact channel listed in this Agreement\.

The notice should include the following information:

- the electronic or physical signature of the person authorized to act on behalf of the owner of the copyright or other right allegedly infringed;

- a description of the copyrighted work or other intellectual property that you claim has been infringed;

- a description of the material that you claim is infringing and its location in the Services;

- your address, telephone number, and email address;

- a statement that you have a good\-faith belief that the use of the complained\-of material in the Services is not authorized by the copyright or other intellectual property owner, its agent, or the law;

- a statement that the information in the notice is accurate and, under penalty of perjury, that you are the owner of the copyright or other intellectual property, or are authorized to act on behalf of the owner of the copyright or other intellectual property\.

# Service Changes

We reserve the right to modify or terminate the Services at any time, including limiting or terminating certain features of the Services, whether temporarily or permanently, without prior notice\. Unless otherwise provided, we will not be liable for any changes to the Services or for any suspension or termination of your access to or use of the Services\.

# Termination of Services

We have the right to immediately terminate or suspend your account for any reason, without prior notice or liability, including but not limited to the following circumstances:

- you violate these Terms or other policies;

- we are required to take such action to comply with legal requirements;

- you violate our commercially reasonable and lawful instructions;

- your use of the Services may create risk or harm to us, our users, or others\.

Upon termination, your right to use the Services will immediately cease\. You may terminate your account at any time by ceasing to use the Services, or by using the account deletion function within the Application\.

# Disclaimer

The Services and all materials and content provided through the Services are provided on an “as is” and “as available” basis\. We expressly disclaim any express or implied warranties of any kind relating to the Services and all materials and content provided through the Services, including: \(a\) any implied warranties of merchantability, fitness for a particular purpose, title, quiet enjoyment, or non\-infringement; and \(b\) any warranties arising from course of dealing, usage, or trade practice\.

We do not warrant that the Services, any part of the Services, or any materials or content provided through the Services will be uninterrupted, secure, error\-free, or free of viruses or other harmful components, and we do not warrant that any such issues will be corrected\.

AI Outputs may be inaccurate, incomplete, delayed, outdated, may misunderstand context, omit important information, or generate inappropriate content\. AI Outputs do not constitute medical, mental health, legal, financial, investment, tax, safety, emergency assistance, or other professional advice\. You should not rely on AI Outputs as the sole source of facts, the sole basis for decisions, or a substitute for professional advice\.

Unless we expressly state otherwise and satisfy applicable compliance requirements, the Services may not be used for medical diagnosis, treatment, emergency rescue, credit, insurance, employment, educational admissions, law enforcement, housing, immigration, or other high\-risk decisions that may have a significant impact on individuals\.

Content risk controls, sensitive\-word filtering, and safety strategies may not detect or prevent all illegal, harmful, inaccurate, offensive, or inappropriate content, and may also mistakenly block normal content\. You remain responsible for the content that you input, upload, share, send, or execute\.

# Limitation of Liability

To the maximum extent permitted by applicable law, we and our affiliates or partners will not be liable for any indirect, incidental, special, consequential, punitive, or aggravated damages, including loss of profits, loss of revenue, business interruption, loss of goodwill, data loss, content errors, third\-party claims, or costs of substitute services, even if we have been advised of the possibility of such damages\.

To the maximum extent permitted by applicable law, our total cumulative liability arising from this Agreement, the Device, or the Services will not exceed the greater of: \(a\) the amount you actually paid for the relevant Services during the 12 months before the event giving rise to the claim; or \(b\) one hundred U\.S\. dollars \(US$100\)\. If a claim directly relates to the purchase of a Device, the liability cap may be handled in accordance with the applicable limited warranty or return and exchange policy\.

The above limitations do not apply to liability that cannot be limited under applicable law, including liability arising from intentional misconduct, gross negligence, personal injury, mandatory consumer rights, or other non\-excludable matters\.

# User Indemnification

To the maximum extent permitted by law, you are responsible for your use of the Services and must defend and hold harmless us, our affiliates, and their respective shareholders, directors, managers, members, officers, employees, consultants, and agents from and against any third\-party claims and any related liabilities, damages, losses, and expenses, including attorneys’ fees and litigation costs, arising out of or related to:

- your unauthorized use or misuse of the Services;

- your violation of any part of these Terms, any representations, warranties, or agreements referenced in these Terms, or any applicable law or regulation;

- your infringement of any third\-party rights, including any intellectual property rights or rights of publicity, confidentiality rights, other property rights, or privacy rights;

- any dispute or issue between you and any third party\.

We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, without limiting your indemnification obligations with respect to that matter\. In such case, you agree to cooperate with us in the defense of such claims\.

# General Terms

These Terms, including the Privacy Policy and any other agreements expressly incorporated into these Terms by reference, constitute the complete and exclusive understanding and agreement between you and us regarding your use of the Services and related matters\.

You may not assign these Terms or any of your rights under these Terms, in whole or in part, in any manner, including by operation of law, without our prior written consent\. We may assign these Terms at any time without prior notice to or consent from you\.

Our failure to require performance of, or exercise any right or remedy under, these Terms does not affect our right to require performance or seek rights or remedies at any other time thereafter\. Our waiver of any breach of these Terms or any provision of these Terms does not constitute a waiver of any subsequent breach or default, or a waiver of the provision itself\. All waivers must be in writing and signed by the waiving party to be effective\.

Section headings in these Terms are for convenience only and do not affect the interpretation of any provision\. In these Terms, the word “including” means “including without limitation\.” If any part of these Terms is held invalid or unenforceable, the unenforceable part will be enforced to the maximum extent possible, and the remaining parts will remain in full force and effect\.

# Privacy and Data Protection

For details on how we collect, use, share, retain, protect, and delete your personal information, please see the **Privacy Policy**\. This Agreement and the Privacy Policy together constitute important rules governing your use of the Services\.

If this Agreement conflicts with the Privacy Policy regarding the processing of personal information, the more specific provision that better protects users’ rights will prevail, unless otherwise required by applicable law\.

# Changes to this Agreement

We may modify this Agreement from time to time\. If a modification has a material adverse impact on your rights or obligations, we will provide advance notice by email, in\-app notification, website announcement, or other reasonable means\. Unless otherwise stated in the notice, material changes will generally take effect 30 days after notice is given\.

If you do not agree to the modified Agreement, you should stop using the Services\. Your continued use of the Services after the changes take effect means that you accept the modified Agreement\. For changes to material terms such as dispute resolution, privacy, fees, or automatic renewal, we may provide additional choices, opt\-out mechanisms, or confirmation mechanisms\.

# Contact Us

If you have any questions about this Agreement or need to submit a DMCA notice, please contact us at [support@actra\.ai](mailto:support@actra.ai)\.

# Supplemental Terms for U\.S\. Users

If your usual residence is in the United States, the following terms apply in addition to the terms above, or replace the terms above where applicable\. If these Supplemental Terms are inconsistent with any other terms of this Agreement, these Supplemental Terms will prevail to the extent applicable\.

The Privacy Policy applicable to the Product and/or Services, as well as other rules of use, including any rules, specifications, announcements, explanations, interpretations, statements, guidelines, or other similar content that have been or will be published and made available through the Product and/or Services, form part of this Agreement\.

**Arbitration Agreement: **You and we agree that any dispute, claim, or controversy arising out of or relating to these Terms, the breach, termination, enforcement, interpretation, or validity of these Terms, or the use of our software or Device, collectively referred to as “Disputes,” will be resolved by binding arbitration\. However, each party retains the right to: \(i\) bring an individual action in small claims court; and \(ii\) seek injunctive relief or other equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of a party’s copyright, trademark, trade secret, patent, or other intellectual property rights\. The proceedings described in item \(ii\) above are referred to as “Intellectual Property Protection Actions\.”

Without limiting the foregoing, if, within thirty \(30\) days from the date you first access this website, you provide us with written notice by regular mail stating that you wish to litigate any other Dispute, you will also have the right to litigate such other Disputes\. The notice should be sent to: \[[support@actra\.ai](mailto:support@actra.ai)\]\. Such notice is referred to as an “Arbitration Opt\-Out Notice\.”

If you fail to provide an Arbitration Opt\-Out Notice within the thirty \(30\)\-day period, you will be deemed to have knowingly and intentionally waived your right to litigate any Dispute, except for the circumstances expressly provided in items \(i\) and \(ii\) above\. The exclusive jurisdiction and venue for any Intellectual Property Protection Action, or for litigation if you timely provide an Arbitration Opt\-Out Notice, will be the state and federal courts located in \[we recommend selecting California or New York, but the company should select the U\.S\. state and city it considers appropriate\], and each party waives any objection to jurisdiction and venue in such courts\.

Unless you timely provide an Arbitration Opt\-Out Notice, you acknowledge and agree that you and we each waive the right to a jury trial and the right to participate as a plaintiff or class member in any proposed class action or representative proceeding\. In addition, unless you and we agree otherwise in writing, the arbitrator may not consolidate more than one person’s claims or otherwise preside over any form of class action or representative proceeding\. If the specific contents of this paragraph are held unenforceable, the entire “Dispute Resolution” provision will be deemed invalid\. Except as provided in the preceding sentence, this “Dispute Resolution” provision will survive termination of these Terms\.

**Arbitration Rules:** The arbitration will be administered by the American Arbitration Association \(“AAA”\) in accordance with its then\-current Commercial Arbitration Rules and Supplementary Procedures for Consumer\-Related Disputes, collectively the “AAA Rules,” except as modified by this “Dispute Resolution” provision\. The AAA Rules are available at [www\.adr\.org/arb\_med](http://www.adr.org/arb_med)\. The Federal Arbitration Act will govern the interpretation and enforcement of these Terms\.

**Arbitration Process: **A party wishing to initiate arbitration must submit a written demand for arbitration to the other party in accordance with the AAA Rules\. The AAA provides a general demand for arbitration form and separately provides a demand for arbitration form for California residents\. The arbitrator must be a retired judge or a licensed attorney and will be selected by the parties from the AAA’s roster of arbitrators\. If the parties are unable to agree on an arbitrator within seven \(7\) days after service of the demand for arbitration, the AAA will appoint the arbitrator in accordance with the AAA Rules\.

**Arbitration Location and Procedure: **Unless you and we agree otherwise, the arbitration will take place in \[select a location in the United States that we consider appropriate\]\. If your claim does not exceed US$10,000, the arbitration will be conducted solely on the basis of documents submitted by you and us to the arbitrator, unless you request a hearing or the arbitrator determines that a hearing is necessary\. If your claim exceeds US$10,000, whether you are entitled to a hearing will be determined according to the AAA Rules\. To the extent permitted by the AAA Rules, the arbitrator will have authority to direct the parties to conduct reasonable information exchange consistent with the expedited nature of the arbitration\.

**Arbitrator’s Award: **The arbitrator will issue an award within the time period specified in the AAA Rules\. The arbitrator’s decision must include the basic findings of fact and conclusions on which the award is based\. The arbitration award may be submitted to any court of competent jurisdiction for confirmation and entry of judgment\. Any damages awarded by the arbitrator must be consistent with the limitation of liability provisions above and the provisions in the limited warranty, and must be limited to the types and amounts of damages for which a party may be liable\. The arbitrator may award declaratory or injunctive relief only in favor of the requesting party and only to the extent necessary to satisfy that party’s individual claim\.

**Fees: **Your responsibility to pay any AAA filing fees, administrative fees, and arbitrator fees will be determined solely in accordance with the AAA Rules\. The prevailing party is entitled to recover its reasonable fees from the other party\.

**Changes: **Notwithstanding the provisions above regarding changes to these Terms, if we modify this “Dispute Resolution” provision after the date you first access this website, or after you accept any later changes to these Terms, you may reject such changes by sending us written notice within thirty \(30\) days after the effective date of such changes, including by email to \[[support@actra\.ai](mailto:support@actra.ai)\]\. The effective date of the changes will be the date shown in the “Last Updated” date above these Terms, or, where applicable, the date in the change notice email we send to you\. By rejecting any changes, you agree that any Dispute between you and us will be arbitrated in accordance with the “Dispute Resolution” provision in effect on the date you first accessed this website or on the date you accepted any later changes to these Terms\.

The language of arbitration will be English\.

The parties have expressly requested that this Agreement and all ancillary documents be drafted in English\.

# Supplemental Terms for Canadian Users

This section applies to users who usually reside in Canada\. If this section conflicts with the main Agreement, this section will prevail\.

Nothing in this Agreement limits any non\-waivable rights you may have under Canadian federal, provincial, or territorial consumer protection, privacy, electronic commerce, automatic renewal, product quality, statutory warranty, or other mandatory laws\.

Except as otherwise mandatorily required by applicable law, this Agreement is governed by the laws of the province or territory in which you usually reside\. If the laws of your province or territory do not permit all or part of mandatory arbitration, class action waivers, limitations of liability, indemnification, or unilateral modification clauses, the relevant provisions will not apply to you to that extent\.

We will process your personal information in accordance with applicable Canadian privacy laws, including PIPEDA and applicable provincial privacy laws\. For information about collection, use, disclosure, cross\-border transfer, retention, and rights requests, please refer to the **Privacy Policy**\.

**Special Terms for Quebec Users**

This section applies to consumer users residing in the province of Quebec\. If this section conflicts with other terms, this section will prevail\.

This Agreement does not limit any non\-waivable rights you have under the Quebec Consumer Protection Act and other applicable Quebec laws\. Any provision requiring mandatory arbitration for consumers, limiting a consumer’s right to bring an action in court, limiting participation in a class action, or excluding non\-waivable statutory warranties will not apply to Quebec consumers to the extent prohibited by applicable law\.

If this Agreement is provided in English, Chinese, or any other language version, the language selection and French\-version requirements should comply with applicable Quebec laws\. The final published version for Quebec consumers should be confirmed by local counsel\.
